Lumo Referral Programme Terms
Effective date: 26 August 2026
These terms are an agreement between LUMO PLATFORM LIMITED, a company registered in England and Wales (company number 16933815, registered office The Boutique Workplace Company, 12-18 Theobalds Road, London, England, WC1X 8PL), trading as Lumo (“Lumo”, “we”, “us”), and the person who joins the referral programme (“you”, “the referrer”).
1. The programme
When you join, you receive a personal referral link and, where enabled, a personal discount code. If someone subscribes to Lumo after using your link or code, you earn commission on their payments as set out in clause 3.
2. Joining
Anyone aged 18 or over may apply through our referral portal. We review applications and may decline or remove any referrer at our discretion. When you sign up we ask for your country of residence, whether you are registered for VAT (and your VAT number if so), and your payout details.
3. Commission
You earn 12.5% of each payment we collect from a customer you referred, including payments we collect other than through our online checkout, for the first 12 months of that customer's subscription, measured from their first paid invoice.
Commission accrues only on payments we actually collect. Failed payments, paused subscriptions, trials and free periods earn nothing. If a customer upgrades or downgrades, the commission follows what they actually pay. When the customer cancels, commission stops from that point; commission already earned on collected payments stands.
4. Attribution
A referral is attributed to you when the customer subscribes using your referral link or applies your referral code at checkout. Contacting or introducing a prospective customer does not by itself establish attribution. Where more than one referrer has introduced, contacted or communicated with the same customer, attribution is based on the referral link or code used at checkout. You are responsible for ensuring that customers you refer use your referral link or code when completing checkout.
If more than one referrer's link or code is associated with a checkout, we will determine attribution in good faith based on the tracking data available, and our determination is final.
Attribution is fixed at the customer's first paid invoice, and each customer can only ever be attributed to one referrer. Existing Lumo customers cannot be referred.
5. Holds, refunds and clawback
Each commission is held as pending for 30 days after the payment it relates to. If the underlying payment is refunded or charged back, or the subscription is refunded under our published refund policy, the commission is reversed. If a reversal happens after we have already paid you, we deduct the amount from your next payout. We never ask you to send money back; a negative balance simply carries forward.
6. Payouts
We pay accrued commission monthly in arrears, once your payable balance reaches £25. Balances below £25 roll forward to the next month. Payment is by PayPal, in pounds sterling, to the details you give us in the portal; you are responsible for keeping those details current, and any fees or currency conversion PayPal applies on receipt are yours. If the programme or your participation ends, we pay out your remaining balance within 60 days.
7. Taxes and self-billing
You take part as an independent contractor. Nothing in this agreement makes you an employee, agent or partner of Lumo, and you are responsible for any tax due on your commission in your own jurisdiction.
This clause is a self-billing agreement for the purposes of HMRC VAT Notice 700/62. You agree that we will issue self-billed invoices on your behalf for all commission we pay you, that you will not issue your own invoices for that commission, and that you will tell us immediately if you register for VAT, deregister, change your VAT number, or transfer your business. If you are VAT-registered, self-billed invoices will show VAT at the applicable rate. This arrangement runs for the duration of your participation in the programme and lapses when it ends.
8. How you may promote Lumo
You must make the paid relationship obvious in every public post, video, page or promotion that carries your link or code. On social platforms that means a clear label such as “#ad” that the audience sees up front; a mention buried in a caption's tail or behind a “more” fold is insufficient. This is a legal requirement in the UK (CAP Code) and the US (FTC Endorsement Guides), and we may terminate your participation and withhold unpaid commission if you skip it. We can supply approved wording on request, and we spot-check.
You must not:
- refer yourself, your household, or any account you control, directly or through a new email address, card or device;
- post your link or code on coupon, voucher or deal sites, or anywhere that presents it as a public discount;
- bid on “Lumo” or confusingly similar terms in paid search, or register domains or social handles that impersonate Lumo;
- send unsolicited bulk messages, use bots or paid incentives to generate clicks or signups, or misstate what Lumo is, does or costs;
- pass us anyone's personal contact details. Referrals happen when the person you refer follows your link themselves.
Breach of this clause forfeits unpaid commission and ends your participation.
9. Fraud
We review referral activity for patterns such as matching payment details, shared devices or unusual signup velocity, and we may hold payouts while we investigate. Commission generated by fraudulent, incentivised or artificial signups is void.
10. Changes and termination
Either of us may end your participation at any time. We may change these terms, the commission rate or the programme itself with 30 days' notice through the portal or by email; changes apply prospectively, and commission already earned under the old terms is honoured. Customers referred before a change keep the terms that applied when they were referred.
11. General
We process your personal data in line with our privacy policy. Our total liability to you under this agreement is capped at the commission paid or payable to you in the 12 months before a claim arises, and nothing in it excludes liability that cannot lawfully be excluded. This agreement is governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction.
